Official Contestant Rules
Please read these contest rules (“Contest Rules”) in their entirety before entering the contest. Do not enter the contest unless you agree to these Contest Rules. Participation in the contest constitutes unconditional agreement with and acceptance of these Contest Rules which are final on all matters relating to the contest. By entering this contest, you agree to be bound by the decisions of the contest judges which are final and binding in all respects.
1. CONTEST
Canada’s Mastermind Development Corporation “Race to a Million” contest is sponsored by Canada Mastermind Development Corporation (the “Sponsor”). The contest commences August 16, 2010 at 9:00 a.m. PST and closes June 30, 2011 at 9:00 a.m. PST (the “Contest Period”). The Contest is limited to five teams of between five and ten members, each of which teams is located in Kamloops, B.C., Canada. Members of the general public are permitted to participate in the Contest in the manner set out under the icon “Terms of Use”
2. GRAND PRIZE
There will be one (1) single grand prize available to be won during the Contest Period, consisting of 7/10ths of the total accumulated investment of the winning team. The total accumulated investment will be divided equally among the team members, including the charity of choice (the charity will be another team member and will receive an equal share) in the form of a cheque made out to each team member.
The grand prize must be accepted as awarded. The prize may not be sold or transferred, substituted for another prize, or exchanged in whole or in part. Any taxes, including income tax, and incidental charges on the prize are the responsibility of each member on each team.
The winning team will be the first team to accumulate a total investment of one million dollars ($1,000,000.00)
The odds of winning the grand prize depend on the performance of each team during the Contest Period.
3. GRAND PRIZE DISTRIBUTION
The grand prize will be announced at approximately 1:00 p.m. PST on July 1, 2011. Should one team reach the goal of $1,000.00.00 prior to the end of the Contest Period all contestants will be notified by the Sponsor however the Contest will continue until the end of the Contest Period. If no team has reached the goal of $1,000,000 by the end of the Contest Period, whichever team has accumulated the highest investment amount at the end of the Contest period will be determined the winner. Before being declared a winning team, the winning team (eligible according to the official rules) will be contacted by telephone, electronic mail, or courier. The winning team will be notified by the Sponsor to make arrangements for the awarding of the prize. All teams will be required to sign a standard Declaration of Compliance, Liability Release form and Publicity Release consent to the use of their name, city or Province/Territory and/or photograph without further compensation, in any publicity carried out by the Sponsor and/or its advertising and promotional agencies relevant to this contest.
Upon receipt of the complete release and verification that the grand prize winning team is eligible and in compliance with contest rules, the Sponsor will notify the grand prize winning team and sequential winning teams of the manner in which he/she will have to take possession of the grand prize and sequential prizes. The Sponsor reserves the right to determine how the presentation of the prize will occur and this may be either a media event, by mail, or in person.
Subsequent Winning teams
Upon completion of the Contest, there will be four (4) prizes awarded to the second, third, fourth, and fifth place team. The second place team will be determined by either the second team to reach the $1,000,000.00 goal during the contest period, or the team with the highest total accumulated investment amount after the first place team. Determination of third, fourth and fifth place will be in the same manner as that of the second place team, in that it will be the third team to reach $1,000,000.00 or the third team with the highest accumulated investment amount. The fourth place and fifth place team will be determined in same manner.
The second place team will receive 60 percent of their total revenue. Of the 60 percent, the funds will be divided equally among the team members, as well as one (1) equal portion going to a charity of their choice. The winning teams will be notified by the Sponsor to make arrangement for the awarding of the prize.
The third place team will receive 50 percent of their total revenue. Of the 50 percent, the funds will be divided equally among the team members, as well as one (1) equal portion going to a charity of their choice. The winning teams will be notified by the Sponsor to make arrangement for the awarding of the prize.
The fourth place team will receive 40 percent of their total revenue. Of the 40 percent, the funds will be divided equally among the team members, as well as one (1) equal portion going to a charity of their choice. The winning teams will be notified by the Sponsor to make arrangement for the awarding of the prize.
The fifth place team will receive 30 percent of their total revenue. Of the 30 percent, the funds will be divided equally among the team members, as well as one (1) equal portion going to a charity of their choice. The winning teams will be notified by the Sponsor to make arrangement for the awarding of the prize.
Additional Terms
- Each team will receive $500.00 from the Sponsor to begin the Contest.
- Each team is provided with three (3) “Let It Ride” lifelines. A Let It Ride lifeline entitles a team to extend an investment deadline by one (1) more three week period. Once all 3 lifelines are used by a team, if that team goes over another investment period, the contest is ended for them.
- The contest will have short term and long term investments. No more than 50 percent of the total monies provided by the Sponsor or earned through investments can be used in long term investments. 50 percent or more of available monies can be used for short term investments. Short term investments are defined as one 3-week timeframe.
- Each short term investment (or entrepreneurial adventure) must be completed in 3 weeks or less. The weeks will run from Sunday at midnight to the following Sunday at midnight each week.
Long term investments can run until the end of the contest period and are any type of investment opportunity. - Short term investment periods begin on August 16, 2010 at 12:01 a.m. and run for a 3-week period following that date. If a short term investment is started during one of the investment periods it must end on the finish date below. (If you start 1.5 weeks into an investment period you only have 1.5 weeks remaining in that period) Below is a table setting out each short term investment period.

- All investments must be environmentally responsible.
- All investments must be socially responsible.
- Any investment can be used only once (ie. groups can only invest in a particular stock once; refurbishing and reselling a car, etc. can only be employed once).
- Other groups can monitor the actions of another group and employ their strategies, but can only do so once per strategy.
- Gambling is not permitted. Gambling is defined as any activity regulated by British Columbia Lottery Corporation.
- The teams’ progress will be tallied weekly and posted on the “Race to a Million” leader board which can be found at www.racetoamillion.ca.
- Each team is required to keep all receipts from any purchases made during the Contest Period. Each team will also be given a book of invoices which they must use when selling or making transactions. At the end of every 3-week investment period, a copy of all receipts and invoices must be given to Elaine Blyth of Canadian Mastermind Development Corporation to keep track of all teams’ investments and sales or purchases.
- Each team will be provided with a bank account with the Bank of Nova Scotia. All monies relating to the contest must be kept in the said bank account. Two members of each team will have signing authority and online access to the team’s bank account. Elaine Blyth, Dean Pearson and Peter Cameron-Inglis of Canadian Mastermind Development Corporation will also have access to all bank accounts. The Sponsor will monitor the bank accounts of each team member on a weekly basis.
- Any transactions which require legal signing authority, such as purchases of houses or cars, must be done through either Dean Pearson or Peter Cameron-Inglis, as they have the signing authority for Canadian Mastermind Development Corporation.
- No team and/or team member can legally obligate themselves, their team or the Sponsor to any debts. Therefore, no loans or debts can be taken on. No promise for compensation or assistance to a third party may be made. There shall be no profit sharing or profit splitting with any third party or anyone not a member of a team.
- All entries become property of the Sponsor who assumes no responsibility for garbles, inaudible, lost, late, delayed, destroyed or misdirected mail, voice messages, email or any computer errors or malfunctions. The Sponsor does not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, seeding or printing errors, lost or delayed or garbled data or transmissions, omissions, interruptions, deletions, affect or failures of any telephone or computer line or network, computer equipment, software, or any combination thereof. Entry materials/data that have been tampered with or altered or void.
- For clarity, you retain all of your ownership rights in your investment ideas, strategies, techniques or other methods. However, by submitting the ideas, strategies, techniques or other methods to the Sponsor, you hereby grant the Sponsor a worldwide non-exclusive, royalty free, sub licensable and transferable licence to use, reproduce, distribute, prepare derivative works of, display and perform the ideas, strategies, techniques or other methods in connection with the Contest and the business of the Sponsor (and its successors and affiliates), including without limitation for promotion and redistribution part or all of the ideas, strategies, techniques or other methods (and derivative works thereof) in any media format and through any media channels. You also hereby grant each Contest participant a non-exclusive licence to access your ideas, strategies, techniques or other methods used during the Contest and to use, reproduce, distribute, display and perform such ideas, strategies, techniques or other methods as permitted through all functionality of the Contest and under these Contest Rules.
- You further agree that the ideas, strategies, techniques or other methods you submit to the Contest will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant the Sponsor all of the licencing rights granted herein.
- The Sponsor does not endorse any ideas, strategies, techniques or other methods submitted to the Contest by any user or other licencer, or any opinion, recommendation or advice expressed therein, and the Sponsor expressly disclaims any and all liability in connection with the ideas, strategies, techniques or other methods. The Sponsor does not permit copyright infringement activities and infringement of intellectual property rights during the Contest, and the Sponsor will remove all ideas, strategies, techniques or other methods if properly notified that such ideas, strategies, techniques or other methods infringes on another person’s intellectual property rights. The Sponsor reserves the right to remove content without prior notice.
- The Contest is protected by copyright, trademark and other laws of both Canada and foreign countries. Nothing in the Rules gives you the right to use the Sponsor’s name or any of the Sponsors’ trademarks, logos, domain names or other distinctive brand features.
- If for any reason, in the opinion of the Sponsor, in its/their sole discretion, the contest is not capable of running as originally planned, or if the administration, security, fairness, integrity or the proper conduct of the contest is corrupt or adversely affected, including but not limited to by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes, the Sponsor reserves the right, without need of individual notice, to cancel, terminate, modify, amend, extend or suspend the contest in whole or in part, including without limitation cancelling any method of entry. The Sponsor reserves the right in its sole discretion to disqualify any individual and/or team it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of Contest rules or otherwise in a disruptive manner. Any attempts to deliberately damage any website or to undermine the legitimate operation of this contest is a violation of criminal and civil law and should such attempts be made the Sponsor reserves the right to seek remedies and damages to the fullest extent of the law. The Sponsor shall not be held responsible for any errors or negligence that may arise or occur in connection with the contest including any damage to the entrants computer system, system software, or any combination thereof, as a result of their participation in this contest or from downloading any material from the contest website, where applicable.
- The Contest is void where prohibited or otherwise restricted by law and is subject to all Federal, Provincial and Municipal laws and regulation. Except where prohibited by law, the contest and these Contest Rules will be exclusively governed by and construed in accordance with the laws of British Columbia. Any dispute arising hereunder shall be governed by the law of British Columbia.
- In the event of any conflict with any contest details contained in these Contest Rules and the contest details contained in any form of promotional material or media (“Contest Materials”), the details of the contest set forth in these Contest Rules shall prevail.
- All rules are subject to change at any time. In order to maintain fairness to all the teams, the Sponsor reserves the right to amend the rules at their discretion at any time. As this is a new contest, participants are likely to find ways around the Rules, or “loopholes”. The Sponsor reserves the right to correct these loopholes at anytime, at their discretion, without notification to contest participants.
- Should any team or team members breach any of the Contest Rules listed above or any rules which are yet to be developed, the Sponsor reserves the right to penalize or otherwise disqualify a team or a team member as they see fit in regard to their breach of the above Contest Rules.
LIMITATION OF LIABILITY
IN NO EVENT SHALL THE SPONSOR, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY:
(I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT,
(II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND PARTICIPATION IN THE CONTEST,
(III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN,
(IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES,
(V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR
(VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE CONTEST, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY THE LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOLWEDGE THAT THE SPONSOR SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
INDEMNITY
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless The Sponsor, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, and the expenses (including but not limited to attorney’s fees) arising from:
(i) your use of and access to the Contest;
(ii) your violation of any term of these Contest Rules;
(iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or
(iv) any claim that your ideas, strategies, techniques or other methods caused damage to a third party. This defence in indemnification obligation will survive these
(v) Contest Rules and your participation in the Contest.
These Contest Rules constitute the general agreement between you and the Sponsor and govern your participation in the Contest. You may also be subject to additional terms and conditions that may apply when you use affiliate services, third party content, or third party software. If any part of these Contest Rules are held invalid or unenforceable, that portion shall be construed in a manner consistent with the applicable law to reflect, as nearly as possible, the original intent of the parties, and the remaining portions shall remain in full force and effect. The failure of the Sponsor to exercise and enforce any right or provision of these Contest Rules shall not constitute a waiver of such right or privilege. You agree that, except as otherwise expressly provided in these terms, there shall be no third party beneficiaries to this agreement. Any translation of these Contest Rules is done for local requirements and in the event of a dispute between the English and any non English version, the English version of these Contest Rules shall govern. You agree that any claim or cause of action arising out of or relating to these Contest Rules or the participation in the Contest must be filed within one (1) year after the cause of action arose or to be forever barred.
At no time will you be considered an employee or contractor for the Sponsor as set out by Employment Standards Act [RSBC 1996] c. 113. Therefore any time spent working on projects, services or other types of activities which may benefit the Sponsor are of your own accord. The Sponsor waives all liability for any claims made for loss of wages, loss of income, expenses arising in relation to the above projects, services or other types of activities undertaken by you.
DECLARATION OF UNDERSTANDING
I have read and understand the above document in its entirety. By signing below, I declare that I will abide by the rules and procedures specified in the above listed document. I also recognize that failure to obey the official rules may result in disqualification from the contest or penalties as determined by the Sponsor.
